Terms of Service

Welcome to DocsKing. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DocsKing ("Company," "we," "us," or "our") governing your access to and use of the DocsKing platform, including our website at docsking.com, web application at app.docsking.com, and all related services (collectively, the "Service").

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

1.1. By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1.2. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization.

1.3. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

1.4. We reserve the right to update or modify these Terms at any time. We will notify you of material changes as described in Section 15. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Account Registration

2.1. To access certain features of the Service, you must create an account by providing a valid email address and display name. Account creation uses a passwordless registration flow: you will receive an email with a link to set your password.

2.2. You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication (MFA) methods. You agree to notify us immediately of any unauthorized access to or use of your account.

2.3. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2.4. You may not create an account using a false identity, impersonate another person, or use an email address you do not control. We reserve the right to suspend or terminate accounts that violate this provision.

2.5. You are solely responsible for all activity that occurs under your account, whether or not you authorized such activity. DocsKing is not liable for any loss or damage arising from unauthorized use of your account.

3. Description of Service

3.1. DocsKing is a document management and collaboration platform that provides features including, but not limited to: workspace management, document creation and editing with a rich text editor, custom fields, document sharing, tagging, collections, file storage, audit trails, email notifications, and multi-factor authentication.

3.2. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes to the Service.

3.3. The Service may include integrations with third-party storage providers (such as Amazon S3, Cloudflare R2, Azure Blob Storage, Dropbox, and Google Drive). Your use of such third-party services is subject to their respective terms and conditions.

4. User Responsibilities

4.1. You agree to use the Service only for lawful purposes and in accordance with these Terms.

4.2. You are responsible for all content that you upload, create, store, share, or transmit through the Service ("User Content"). You represent and warrant that you have all necessary rights to such content and that your content does not violate any applicable law or the rights of any third party.

4.3. You are responsible for configuring appropriate access controls within your workspaces, including member roles (Admin, Member, Guest) and document-level sharing permissions (View, Comment, Edit).

4.4. You agree to maintain the security of your account by using strong passwords, enabling multi-factor authentication where available, and promptly reviewing login history and trusted devices.

4.5. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including data protection and privacy laws applicable in your jurisdiction.

5. Acceptable Use Policy

5.1. You agree not to use the Service to:

  • (a) Upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
  • (b) Upload, store, or transmit any content that infringes upon any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party;
  • (c) Upload, store, or transmit any malicious code, viruses, worms, Trojan horses, or other harmful software;
  • (d) Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service;
  • (e) Interfere with or disrupt the integrity or performance of the Service or the data contained therein;
  • (f) Use the Service to send unsolicited communications, spam, or phishing messages;
  • (g) Use the Service for any form of illegal activity, including money laundering, fraud, or the distribution of illegal materials;
  • (h) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
  • (i) Scrape, crawl, or use automated means to access the Service without our prior written consent;
  • (j) Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks;
  • (k) Resell, sublicense, or distribute the Service to third parties without our prior written consent;
  • (l) Circumvent or attempt to circumvent any rate limiting, access controls, or other security measures of the Service.

5.2. We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. Intellectual Property

6.1. Our Intellectual Property. The Service, including its original content (excluding User Content), features, functionality, design, source code, algorithms, and documentation, is and remains the exclusive property of DocsKing and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws. Our trademarks, service marks, logos, and trade names may not be used without our prior written consent.

6.2. License to Use the Service. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

6.3. Feedback. If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, modify, and distribute such Feedback for any purpose without obligation to you.

7. Data Ownership and User Content

7.1. You Own Your Data. You retain all ownership rights in and to your User Content. DocsKing does not claim any ownership interest in your User Content. Nothing in these Terms transfers ownership of your data to DocsKing.

7.2. License to Provide the Service. By uploading or submitting User Content to the Service, you grant DocsKing a limited, non-exclusive, worldwide license to store, process, display, and transmit your User Content solely as necessary to provide and operate the Service. This license terminates when you delete your User Content or your account.

7.3. Data Portability. You may export your User Content at any time through the features provided by the Service. Upon termination of your account, you will have a reasonable period (not less than 30 days) to export your data before it is permanently deleted.

7.4. Data Security. We implement commercially reasonable technical and organizational measures to protect your User Content, including encryption, access controls, and audit logging. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

7.5. Storage Providers. If you configure an external storage provider for your workspace (e.g., Amazon S3, Azure Blob Storage, Dropbox, Google Drive), your files will be stored with that provider under your own account and credentials. DocsKing is not responsible for the availability, security, or data handling practices of third-party storage providers.

8. Payment and Billing

8.1. Pricing Plans. DocsKing offers both free and paid subscription plans. Details of available plans, features, and pricing are published on our Pricing page and may be updated from time to time.

8.2. Payment Processor. All payments are processed through Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you agree to Stripe's Terms of Service and Privacy Policy. DocsKing does not directly store your full credit card or payment information.

8.3. Billing Cycle. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless cancelled prior to the renewal date.

8.4. Taxes. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes associated with your subscription, except for taxes based on DocsKing's net income.

8.5. Price Changes. We reserve the right to modify our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8.6. Failed Payments. If a payment fails, we will attempt to process the charge again. If payment cannot be collected after reasonable attempts, we may suspend or downgrade your account until the outstanding balance is resolved.

9. Cancellation and Refunds

9.1. Cancellation. You may cancel your paid subscription at any time through your account settings or by contacting us at [email protected]. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid features until the end of the period for which you have already paid.

9.2. No Prorated Refunds. DocsKing does not provide prorated refunds for partial billing periods. When you cancel your subscription, you will retain access to the paid features through the remainder of your current billing period, after which your account will revert to the free plan.

9.3. Downgrade Effects. Upon reverting to the free plan, you may lose access to certain features and your workspace may be subject to free-tier limitations (including storage quotas). Your data will not be deleted, but you may need to reduce usage to comply with free-tier limits.

9.4. Refund Exceptions. We may, at our sole discretion, offer refunds in exceptional circumstances, such as extended service outages or billing errors attributable to DocsKing. Refund requests should be directed to [email protected].

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOCSKING, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (a) Your access to or use of, or inability to access or use, the Service;
  • (b) Any conduct or content of any third party on the Service;
  • (c) Any User Content obtained from the Service;
  • (d) Unauthorized access, use, or alteration of your transmissions or content;
  • (e) Any interruption, suspension, or termination of the Service;
  • (f) Any bugs, viruses, or other harmful code that may be transmitted to or through the Service by any third party.

10.2. IN NO EVENT SHALL DOCSKING'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO DOCSKING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10.3. THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT DOCSKING HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE.

10.4. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11. Disclaimer of Warranties

11.1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2. DOCSKING DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

11.3. Any content downloaded from or otherwise obtained through the use of the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download or use of such content.

12. Indemnification

12.1. You agree to indemnify, defend, and hold harmless DocsKing, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

  • (a) Your use of the Service or any activity under your account;
  • (b) Your User Content, including any claim that your User Content infringes the intellectual property rights or other rights of any third party;
  • (c) Your violation of these Terms;
  • (d) Your violation of any applicable law, regulation, or rights of another person or entity;
  • (e) Any misrepresentation made by you.

12.2. DocsKing reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of DocsKing.

13. Termination

13.1. Termination by You. You may terminate your account at any time by contacting us at [email protected] or through the account settings in the Service. Upon termination, your right to use the Service will immediately cease.

13.2. Termination by DocsKing. We may suspend or terminate your account and access to the Service, in whole or in part, at any time, with or without cause, and with or without notice, including but not limited to:

  • (a) Breach of these Terms or the Acceptable Use Policy;
  • (b) Requests by law enforcement or government agencies;
  • (c) Extended periods of inactivity;
  • (d) Non-payment of applicable fees;
  • (e) Unexpected technical or security issues;
  • (f) Discontinuation or material modification of the Service.

13.3. Effects of Termination. Upon termination: (a) all licenses and rights granted to you under these Terms will immediately cease; (b) you must cease all use of the Service; (c) you will have 30 days to export your User Content, after which we may permanently delete it; (d) any outstanding fees owed to DocsKing will become immediately due and payable.

13.4. Survival. The following sections shall survive termination of these Terms: Sections 6 (Intellectual Property), 7.1 (Data Ownership), 10 (Limitation of Liability), 11 (Disclaimer of Warranties), 12 (Indemnification), 14 (Governing Law), and any other provisions that by their nature should survive termination.

14. Governing Law and Dispute Resolution

14.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.

14.2. Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of not less than 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

14.3. Arbitration. The arbitration shall be conducted in San Jose, California. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorneys' fees in connection with the arbitration, except as otherwise provided by the arbitrator.

14.4. Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.

14.5. Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

15. Changes to Terms

15.1. We reserve the right to modify these Terms at any time. When we make material changes, we will: (a) update the "Last Updated" date at the top of this page; (b) notify you via email to the address associated with your account; and (c) provide a prominent notice within the Service at least 30 days prior to the changes taking effect.

15.2. If you do not agree with the modified Terms, you must stop using the Service before the changes take effect. Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of the changes.

15.3. Non-material changes, such as typographical corrections or formatting updates, may be made without advance notice.

16. General Provisions

16.1. Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and DocsKing concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

16.2. Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.

16.3. Waiver. No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. DocsKing's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4. Assignment. You may not assign or transfer these Terms, by operation of law or otherwise, without DocsKing's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. DocsKing may assign or transfer these Terms, in whole or in part, without restriction.

16.5. Force Majeure. DocsKing shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, internet or telecommunications failures, or cyberattacks.

16.6. Notices. All notices required or permitted under these Terms shall be in writing. Notices to you may be sent to the email address associated with your account. Notices to DocsKing should be sent to [email protected].

16.7. Third-Party Beneficiaries. These Terms do not confer any third-party beneficiary rights.

16.8. Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.
